Terms of Service
Effective date: November 3, 2026 · Last updated: November 3, 2026
These Terms of Service (the "Terms") are a binding agreement between UpLevel Technologies LLC, a California limited liability company ("M1rror", "we", "us" or "our"), and the customer that uses the Service (the "Customer" or "you"). They govern your access to and use of m1rror.com, the M1rror web application, the M1rror MCP server, the M1rror GitHub App, the M1rror Figma plugin, our APIs and any related services we provide (together, the "Service").
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to accept these Terms for it, and "you" and "Customer" refer to that organisation. If you do not agree, do not use the Service.
The Service is offered to businesses and professionals. It is not offered for personal, family or household use.
1. Definitions
"Customer Content" means all material that you or your Users submit to, upload to, connect to or create in the Service, including references, images, video, notes, comments, prompts, design tokens, components, screens, releases, approvals, translations, store listings and repository code, together with Output.
"Output" means content generated for your workspace by the Service's AI features, including agent replies, design directions, drafted screens, translations, generated images, vectors and video, and proposed code changes.
"User" means an individual whom you or a workspace owner allows to use the Service under your account, including invited members, reviewers and guests who use a review link.
"Agent" means an AI coding agent or other software client that you connect to the Service, including through the MCP server or an agent access token.
"Order" means a plan, seat, credit pack or other purchase you make in the Service or through a separate order form signed by both parties.
"Documentation" means the product descriptions, pricing page and in-product explanations we publish for the Service.
2. Accounts, workspaces and roles
Eligibility. You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You may not use the Service if you are barred from doing so under applicable law, including export control and sanctions laws.
Your account. You must give accurate and complete information, keep it up to date, and keep your password, two-factor codes and agent tokens confidential. You are responsible for all activity under your account and your workspaces. Tell us promptly at [email protected] if you suspect unauthorised access.
Workspaces. Work in the Service happens in workspaces. A workspace belongs to the Customer for which it was created. Workspace owners control membership, roles, billing, exports and deletion, and a workspace always keeps at least one owner. You are responsible for the people you invite, the roles you give them, and their compliance with these Terms.
Roles. Editors create and change work and use paid editor seats. Reviewers and viewers can review, comment and approve but never use a paid editor seat. Billing managers control spending. One person can hold several roles. Guests invited through a review link can only see and act on what that link allows.
3. Plans, usage units and limits
Plans. Each workspace is on a plan: the free Explore plan or a paid plan (currently Studio and Team). Each plan includes a monthly allowance of usage units, a number of projects, included editor seats and a maximum number of editors, and a set of features. Current prices, allowances and limits are shown on our pricing page and in Settings → Billing & usage, and form part of these Terms.
Usage units. Work that runs on our infrastructure (for example agent messages, reference analyses, repository scans, app captures, translations and implementation runs) is measured in usage units. The price of each kind of work in units is shown in the product before you start it. Units are reserved when a run starts and settled when it finishes; if a run fails or is cancelled, the units it did not use are released.
Periods. Usage periods are calendar months in Coordinated Universal Time (UTC). Unused units do not roll over.
Explore plan limits. When an Explore workspace reaches its monthly allowance, new runs are refused until the next period or until the workspace upgrades.
Overage on paid plans. On paid plans, units used beyond the monthly allowance are charged as overage at the per-unit price shown on the pricing page. Overage is limited by a spend cap per period that only a workspace owner can change. Unless an owner sets a different cap, the cap equals the plan's monthly price; an owner may set it to zero to turn overage off, or raise it to a maximum of US$10,000 per period. When the cap is reached, new runs are refused with an explanation, and runs already in progress finish.
Usage alerts. We notify workspace owners and billing managers when usage reaches 80% and 100% of the monthly allowance.
Fair use and limits. We apply rate limits, size limits and safety limits to protect the Service. You may not try to get around them.
4. Generation credits
What credits are for. Image, vector and video generation is paid for with generation credits, separately from usage units. One credit corresponds to US$0.01 of retail value. The price of a generation in credits is shown before you start it, and a generation never costs more than the credits held for it when it started. Outputs that fail, or that a provider's safety checker withholds, are not charged.
Included credits. Each plan includes a monthly number of credits, shown on the pricing page. Included credits are used first and expire at the end of each calendar month (UTC). They do not roll over.
Credit packs. Workspace owners and billing managers can buy credit packs as one-time purchases. Purchased credits are added only after our payment processor confirms the payment, are used after included credits (earliest expiry first), and expire 12 months after purchase.
Daily limit. Each workspace has a daily credit limit (by default 2,500 credits per UTC day) that a workspace owner can change, or set to zero to pause generation.
Nature of credits. Credits are a prepaid right to use the Service's generation features. They are not money, have no cash value, cannot be transferred between workspaces or sold, and are not redeemable for cash except as set out in section 6 or where the law requires. Unused credits are forfeited when they expire or when the workspace is deleted.
Refunds and disputes. If a credit pack payment is refunded or disputed, the corresponding credits are removed. If some of those credits were already spent, the workspace's credit balance becomes negative and generation is paused until the balance is settled.
5. Fees, billing, renewal and cancellation
Payment processing. Payments are processed by Stripe. You authorise us and Stripe to charge your chosen payment method for all fees you incur. We do not receive or store full payment card numbers.
Subscriptions. Paid plans are billed monthly in advance and renew automatically each month until cancelled. Your first invoice is prorated to the start of the next calendar month, after which billing follows calendar months. Overage, if any, is billed in arrears on a following invoice.
Changes. Upgrades take effect immediately, with a prorated charge for the rest of the current period. Downgrades take effect at the end of the current period. Adding an editor seat charges the prorated difference immediately; removing one produces a prorated credit on the next invoice. The product shows the price of each change before you confirm it.
Cancellation. You can cancel a paid plan at any time from Settings → Billing & usage (through the Stripe customer portal). Cancellation takes effect at the end of the current billing period; your plan stays active until then, and you can reactivate it before then. After cancellation the workspace moves to the Explore plan and its limits.
Failed payments. If a payment fails, Stripe retries it automatically. Your plan stays active for 14 days while we retry, overage is paused and workspace owners are notified. If the payment is still outstanding after that period, or the subscription becomes unpaid, the workspace falls back to the Explore plan's limits until the invoice is paid. Reading, reviewing and exporting remain available. We may also suspend the Service under section 18 for amounts more than 30 days overdue.
Taxes. Prices are exclusive of sales, use, value added, goods and services and similar taxes. You are responsible for all such taxes except taxes on our net income. Where we are required to collect tax, it is added at checkout or on your invoice. If you are required to withhold tax, you must gross up your payment so that we receive the full amount invoiced.
Price changes. We may change our prices. We will give workspace owners at least 30 days' notice by email or in the product before a price increase applies to an existing subscription; the new price applies from the first renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
Billing disputes. If you believe a charge is wrong, contact us within 60 days of the charge so we can investigate. Please contact us before filing a chargeback.
6. Refunds
Subscription fees are non-refundable, except where the law requires a refund or where these Terms expressly provide one (for example, the prorated credit for a downgrade or removed seat, or a refund under section 19 or section 21). Cancelling stops future renewals; it does not refund the current period.
Credit packs. You may request a full refund of a credit pack within 14 days of purchase, provided none of that pack's credits have been used. To request one, contact us through in-app support or at [email protected] with the workspace and the receipt. Outside that window, or once any of a pack's credits have been used, credit packs are non-refundable except where the law requires.
How refunds are paid. Refunds are paid to the original payment method through Stripe. When a pack is refunded, its credits are removed as described in section 4.
Consumer rights. If, despite the Service being offered for business use, you are a consumer in the European Union, the United Kingdom or another place whose laws give you a non-waivable right to withdraw from a contract or to a refund, nothing in these Terms limits that right.
7. Your content
Ownership. As between you and us, you own all rights in your Customer Content. We claim no ownership of it.
Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, display and adapt Customer Content only as needed to provide, maintain, secure and support the Service for you, to prevent abuse, and to comply with law. This includes sending Customer Content to the service providers that help us run the Service, as described in our Privacy Policy, for example sending a message and its context to our AI model provider when you ask the design agent for help. The licence ends when the Customer Content is deleted from the Service, subject to the backup and record retention described in the Privacy Policy.
No training. We do not use Customer Content to train artificial intelligence models.
Your responsibilities. You are responsible for your Customer Content and for having all rights, licences and consents needed to upload, capture, connect and use it in the Service, including the right to send it to AI features. The Service lets you record a rights basis for each reference; references are not sent to an AI model, exported or shared until someone with permission allows it.
Personal data in your content. Where Customer Content contains personal data, we process it on your behalf as your processor (or service provider) under the Data Processing Addendum described in section 16.
Usage data. We collect limited data about how the Service is used (for example an allowlisted product event name with a few small values, run records and usage counts) to operate, secure, bill for and improve the Service. This usage data does not contain your prompts, code, URLs, comments or screenshots. We may use aggregated and de-identified usage data for any lawful purpose, provided it does not identify you or any individual.
8. AI features and Output
Nature of Output. The design agent, design directions, screen drafts, translations, generation and other AI features produce suggestions using machine learning models. Output may be inaccurate, incomplete, inappropriate, similar to content created for others, or unsuitable for your purpose, and may not be protectable by copyright or other intellectual property rights.
Review before use. You are responsible for reviewing and evaluating Output, including for accuracy, accessibility, legal compliance and third-party rights, before you rely on it, publish it, ship it or merge it. Do not use Output as the sole basis for decisions that have legal or similarly significant effects on people.
Ownership of Output. As between you and us, Output generated for your workspace is your Customer Content, and we assign to you any rights we may have in it. Because AI models can produce similar Output for others, we do not promise that Output is unique.
Approvals. An approval recorded in the Service is a record of a decision made by a person in your workspace about a specific release. It is not a statement or warranty by us that a design or code change is correct, safe or fit for any purpose.
Safety systems. Generated images and video pass the generation provider's safety checks, and flagged Output is withheld. We may also refuse prompts or requests that we reasonably believe breach section 12.
9. Repositories, code changes and connected stores
Repository access. When you connect a repository through the M1rror GitHub App, you authorise us to read the repositories you grant and, if you grant write access, to create branches, push commits, open pull requests and report check results on them.
M1rror never merges. Every code change the Service proposes is opened as a pull request for human review. You are solely responsible for reviewing, testing and merging changes and for your code, dependencies, deployments and production systems.
Sandboxes. Implementation runs and component previews execute your code in an isolated, disposable sandbox for that run only, with outbound network access restricted. Where a qualified sandbox is not available, those runs are unavailable and the product says so.
App stores. If you connect App Store Connect or Google Play, we use the credentials you provide only to read and publish the store listings and screenshots you choose. You are responsible for your developer accounts and for what you submit to the stores.
10. Coding agents and the MCP server
You may connect Agents to the Service through the M1rror MCP server or an agent access token. An Agent acts only with the permissions that a person in your workspace granted it, for no longer than 90 days per grant, and you can revoke a grant at any time from Settings → Agent access. Agents use the same permission-checked actions as people, and some actions (for example buying credits or changing billing) always require a person. You are responsible for the Agents and AI clients you connect, for what they do with the access you grant, and for their compliance with these Terms.
11. Third-party services
The Service works with third-party services. Some are used by us to provide the Service (for example Stripe for payments, Anthropic for AI models, fal.ai for media generation, E2B for sandboxes, and hosting, database and email providers), as listed in our Privacy Policy. Others are services you choose to connect (for example GitHub, Figma, Mobbin, App Store Connect, Google Play and MCP clients) ("Third-Party Services"). Your use of a Third-Party Service is governed by your agreement with its provider, and you authorise us to exchange data with the Third-Party Services you connect as needed to provide the Service. We are not responsible for Third-Party Services, their availability, security or changes, or for any loss caused by them. If a Third-Party Service stops being available on reasonable terms, we may stop supporting it.
12. Acceptable use
You must not, and must not allow any User or Agent to:
upload, capture, connect or generate content that you do not have the right to use, or that is unlawful, infringing, deceptive, defamatory, obscene, hateful or harassing, that sexualises minors, or that impersonates any person or organisation;
capture, scrape or analyse any application, website or repository that you are not authorised to analyse, or use the Service to get around another service's technical or contractual restrictions;
use AI features in breach of the usage policies of the model providers that power them, including the Anthropic Usage Policy, or to generate content that a generation provider's safety systems are designed to block;
access or attempt to access another customer's data, or probe, scan or test the vulnerability of the Service without our prior written permission (please report security issues to [email protected]);
interfere with or disrupt the Service, introduce malware, or circumvent rate limits, spend caps, credit holds, plan limits, safety systems, access controls or kill switches;
reverse engineer, decompile or attempt to extract the source code or models of the Service, except to the extent the law expressly permits despite this restriction;
use the Service or Output to build or train a competing product or service, or to develop AI models that compete with the Service or with the providers whose models power it;
resell, sublicense, rent or provide the Service to third parties as a service bureau, except as we agree in writing;
send spam or unsolicited messages through the Service, including through invitations or review links;
use the Service in breach of applicable law, including privacy, intellectual property, consumer protection, export control and sanctions laws, or of the terms of any Third-Party Service you connect;
use the Service in any situation where its failure could lead to death, personal injury or serious physical or environmental damage.
13. Beta, preview and gated features
Some features are labelled beta, preview, pilot or experimental, or are shown as gated in the product ("Beta Features"). Beta Features are optional, may change or be withdrawn at any time, may not be as reliable as other features, and are provided "as is" without any warranty, service commitment or indemnity, to the extent the law allows. A gated feature states that it is unavailable and does not run; we never present a gated feature as having succeeded.
14. Our intellectual property and feedback
Our rights. The Service, including its software, models we build, designs, Documentation and trademarks, and everything we create (other than Customer Content), belongs to us and our licensors. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right during your subscription to access and use the Service for your internal business purposes, and to install and use the M1rror GitHub App, Figma plugin and MCP server for that purpose. All rights not expressly granted are reserved.
Feedback. If you give us suggestions, ideas or other feedback about the Service, we may use it without restriction or obligation to you. Feedback does not include your Customer Content, and we will not identify you as its source without your permission.
15. Confidentiality
"Confidential Information" means non-public information that one party (the "Discloser") discloses to the other (the "Recipient") in connection with the Service, that is marked confidential or that a reasonable person would understand to be confidential. Customer Content is your Confidential Information. Confidential Information does not include information that is or becomes public through no fault of the Recipient, that the Recipient already knew or independently developed without using the Discloser's information, or that it lawfully received from a third party without a duty of confidentiality.
The Recipient will use the Discloser's Confidential Information only to perform under or exercise its rights under these Terms, protect it with at least reasonable care, and disclose it only to its employees, contractors, service providers and advisers who need to know it and are bound by confidentiality obligations at least as protective as these. The Recipient may disclose Confidential Information when required by law or legal process, after giving the Discloser reasonable prior notice where lawful, so the Discloser can seek protection.
16. Privacy and data protection
Our Privacy Policy explains how we collect and use personal data, including the account, billing and usage data for which we act as a controller. Where we process personal data contained in Customer Content on your behalf, we act as your processor (or "service provider" under the California Consumer Privacy Act) and process it only on your documented instructions, which are these Terms and your use of the Service. Our Data Processing Addendum, which includes the European Commission's Standard Contractual Clauses and the UK International Data Transfer Addendum where they are required, is available on request at [email protected] and, once signed, forms part of these Terms. You are responsible for providing any notices to, and obtaining any consents from, the people whose personal data you put into the Service.
17. Security
We maintain administrative, technical and physical safeguards designed to protect Customer Content, including encryption in transit, encryption of integration credentials at rest, tenant isolation, role-based access control, isolated sandboxes for running customer code, and audit logging of administrative actions. Our staff's access to customer workspaces is limited to what is needed to provide support, security and operations, and is logged. Our security practices are described on our security page. We will notify you without undue delay after we become aware of a breach of security that leads to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of or access to your Customer Content. You are responsible for securing your own accounts, devices, repositories and connected services.
18. Suspension
We may suspend access to all or part of the Service for a workspace, User or Agent if we reasonably believe that: (a) there is a breach of section 12; (b) the use poses a security risk or could harm the Service, us or others; (c) suspension is required by law or by a Third-Party Service we depend on; or (d) any amount owed is more than 30 days overdue. Where practicable and lawful, we will give notice before suspending and limit the suspension to what is needed. We will restore access promptly once the cause is resolved.
19. Term, termination, export and deletion
Term. These Terms apply from the moment you accept them until all your subscriptions have ended and your account and workspaces are deleted.
By you. You may stop using the Service at any time. Cancel any paid plan first, as described in section 5.
By either party for breach. Either party may terminate these Terms or an Order by written notice if the other party materially breaches them and does not cure the breach within 30 days after receiving notice, or immediately if the other party becomes insolvent or subject to bankruptcy or similar proceedings.
By us. We may terminate a free (Explore) account for any reason with 30 days' notice, or immediately for serious or repeated breaches of section 12. If we discontinue the Service as a whole, we will give at least 60 days' notice and refund any prepaid fees for the period after the discontinuation and any credit packs bought in the 12 months before the notice, in proportion to the credits left unused.
Exporting your data. While you have access, you can export Customer Content using the export tools in the product: you can download your personal account data from Settings → Your account, workspace owners can export workspace records from Settings → Security & data, and project members can export references, design tokens, translations and store screenshots. After termination by us for a reason other than a breach of section 12, we will on request made within 30 days help you export Customer Content still held by the Service.
Deleting a project. Archived projects can be restored for 30 days and are then deleted permanently. A project administrator can also delete an archived project immediately.
Deleting a workspace. Only a workspace owner can delete a workspace. A workspace with a renewing paid subscription must have that subscription cancelled first. When deletion is scheduled, other members lose access immediately; owners can cancel the deletion for 30 days, after which the workspace's content, files, connections and memberships are permanently deleted. An owner can also choose to delete immediately. We keep a minimal record for billing, tax, security and abuse prevention as described in our Privacy Policy.
Deleting your account. You can delete your account from Settings → Your account. Deletion removes you from every workspace, ends your sessions, revokes agent grants you created and de-identifies your profile. Comments, approvals and other contributions you made to a workspace remain part of that workspace's Customer Content, attributed to a deleted user. You cannot delete your account while you are the only owner of a workspace; make another member an owner or delete the workspace first.
Effect of termination. When these Terms or an Order end, your right to use the affected Service ends, unpaid fees for the period before termination become due, and each party will return or delete the other's Confidential Information as described in our Privacy Policy. Sections 4 (nature of credits), 5 (taxes and unpaid fees), 6, 7, 8, 12, 14, 15 and 19 to 26, and any other provision that by its nature should survive, survive termination.
20. Changes to the Service and these Terms
The Service. We continuously improve the Service and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid plan during a billing period you have already paid for, unless the change is required by law, for security reasons, or because a Third-Party Service changed.
These Terms. We may update these Terms. For material changes, we will notify workspace owners by email or in the product at least 30 days before the changes take effect, and update the "Last updated" date above. Changes required by law, or that only concern new features, may take effect sooner. If you do not agree to a change, you may cancel your subscription and stop using the Service before the change takes effect; if you cancel for that reason within the notice period, we will refund any prepaid subscription fees for the period after the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
21. Warranties and disclaimers
Mutual. Each party represents that it has the legal power and authority to enter into these Terms.
Our warranty. For paid plans, we warrant that the Service will perform materially as described in the Documentation, and that we will not materially decrease the overall security of the Service during your subscription. If we breach this warranty and you tell us within 30 days of discovering it, we will use reasonable efforts to correct the non-conformity. If we cannot do so within a reasonable time, either party may terminate the affected subscription and we will refund the prepaid fees for the remainder of the period after termination. This is your exclusive remedy for breach of this warranty. The warranty does not cover Output, Beta Features, Third-Party Services, the free plan, or problems caused by your content, code, configuration or misuse.
Disclaimer. Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Service, Output and Beta Features are provided "as is" and "as available", and we and our suppliers disclaim all other warranties, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted or error-free, that Output will be accurate, complete or non-infringing, or that code changes proposed by the Service will work as intended.
Mandatory rights. Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions, the exclusions above apply only to the extent the law allows.
22. Indemnification
By us. We will defend you against any claim brought by a third party alleging that the Service, as provided by us under a paid plan and used in accordance with these Terms, infringes or misappropriates that third party's patent, copyright, trademark or trade secret, and we will pay the damages and costs finally awarded against you, or agreed by us in a settlement, for that claim. We have no obligation for claims arising from Customer Content, Output, Beta Features, Third-Party Services, the free plan, your modification of the Service, or the combination of the Service with anything we did not provide, where the claim would not have arisen but for that content, modification or combination. If the Service is, or in our opinion is likely to be, subject to such a claim, we may obtain the right for you to continue using it, modify it so it is no longer infringing, or, if neither is reasonably possible, terminate the affected subscription and refund the prepaid fees for the remainder of the period. This section states our entire liability, and your exclusive remedy, for third-party infringement claims.
By you. You will defend us and our affiliates, and their officers, employees and agents, against any claim brought by a third party arising from your Customer Content, your use of Output or of code changes you merge or ship, or your or your Users' or Agents' breach of section 12, and you will pay the damages and costs finally awarded against us, or agreed by you in a settlement, for that claim.
Procedure. The indemnified party must promptly notify the indemnifying party of the claim (a delay only reduces the indemnifying party's obligations to the extent it is prejudiced), give it sole control of the defence and settlement, and provide reasonable cooperation at the indemnifying party's expense. The indemnifying party may not settle a claim in a way that admits fault by, or imposes an obligation other than payment on, the indemnified party without its prior written consent, which may not be unreasonably withheld. The indemnified party may participate with its own counsel at its own expense.
23. Limitation of liability
Excluded damages. To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity or data, or the cost of substitute services, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if it was advised of the possibility of those damages.
Cap. To the fullest extent permitted by law, each party's total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts paid and payable by you to us for the Service in the 12 months before the event giving rise to the liability, and (b) US$100.
Exceptions. The exclusions and cap above do not apply to: (a) a party's obligations under section 22; (b) your obligation to pay fees; (c) your breach of section 12 or infringement of our intellectual property rights; or (d) a party's gross negligence, wilful misconduct or fraud.
Liability that cannot be limited. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Basis of the bargain. The parties agree that these limitations reflect a reasonable allocation of risk and are an essential basis of the bargain, and that they apply even if a limited remedy fails of its essential purpose.
24. Copyright complaints
We respect intellectual property rights and respond to notices of alleged copyright infringement under the US Digital Millennium Copyright Act (DMCA). If you believe material in the Service infringes your copyright, send a written notice to our designated agent at [email protected] with the subject "DMCA notice", including:
your physical or electronic signature, as the copyright owner or a person authorised to act for them;
identification of the copyrighted work you claim has been infringed;
identification of the material you claim is infringing, with enough information for us to locate it (for example a review link or a description of where it appears);
your name, postal address, telephone number and email address;
a statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent or the law; and
a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf.
If we remove or disable material in response to a valid notice, we will take reasonable steps to notify the workspace that provided it. That workspace may send a counter-notice to the same address that includes: its physical or electronic signature; identification of the material removed and where it appeared; a statement under penalty of perjury that it has a good faith belief the material was removed by mistake or misidentification; and its name, address and telephone number and a statement consenting to the jurisdiction of the federal district court for the judicial district in which its address is located (or, if outside the United States, any judicial district in which we may be found) and agreeing to accept service of process from the person who sent the original notice. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the complainant tells us it has filed a court action. We terminate, in appropriate circumstances, the accounts of repeat infringers. Knowingly making a material misrepresentation in a notice or counter-notice can result in liability.
25. Governing law and disputes
Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California and applicable US federal law, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting court proceedings, the party raising a dispute must send the other a written description of it (to us at [email protected]; to you at the email address of your account), and the parties will try in good faith to resolve it for at least 30 days. This does not prevent either party from seeking urgent injunctive or other equitable relief at any time.
Courts. Subject to the informal resolution step, each party submits to the exclusive jurisdiction of the state and federal courts located in the State of California for any dispute arising out of or relating to these Terms or the Service, and waives any objection to venue in those courts. Either party may seek injunctive relief to protect its intellectual property or Confidential Information in any court of competent jurisdiction.
Mandatory local law. If you are a consumer, or are otherwise entitled to protections under the mandatory laws of the country where you live (including in the European Union or the United Kingdom), nothing in this section deprives you of those protections or of the right to bring proceedings in the courts of that country.
26. General
Entire agreement and order of precedence. These Terms, together with the Privacy Policy, any Order, and the Data Processing Addendum where signed, are the entire agreement between the parties about the Service and supersede any prior agreements on that subject. If there is a conflict, a signed order form prevails over these Terms for that Order, and the Data Processing Addendum prevails over these Terms on the processing of personal data. Terms in your purchase orders or other business forms do not apply.
Assignment. Neither party may assign these Terms without the other's prior written consent, except that either party may assign them, with notice, to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of its relevant business or assets. Any other attempted assignment is void.
Force majeure. Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, epidemics, government action, and failures of the internet, utilities or Third-Party Services.
Notices. We may send notices to the email address of your account or of a workspace owner, or through the product. You must send legal notices to [email protected]. Notices are effective when received, and email notices are treated as received the next business day after sending.
Electronic communications. You agree that we may communicate with you electronically, and that electronic agreements, notices and records satisfy any requirement that they be in writing.
